A significant change to the Stock Corporation Act (AktG) and the Limited Liability Companies Act (GmbHG) will impact on gender equality.


As of 1 January 2018, the boards of Stock Companies (AG) and Ltds (GmbH) will be subject to a minimum quota requiring 30% of members to be female.

If the following requirements are fulfilled the appointment of new board members is limited to female candidates until the quota of 30% is satisfied (appointments of non-female members made before this quota is reached will be invalid):

  • The Company must be listed or employ at least 1,000 employees;
  • The board must have at least 6 shareholder representatives;
  • The general woman/men quota of the workforce must be over 20%;
  • The staff and shareholders representatives of the board have to fulfil the quota separately.
